These Customer Terms and Conditions (the “Terms”) constitute a legally binding agreement between FixOnto Inc., together with its parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, shareholders, employees, contractors, licensors, representatives, and agents (collectively, “FixOnto,” “Company,” “we,” “us,” or “our”), and any individual, business, property owner, tenant, occupant, representative, or entity accessing, browsing, registering for, requesting services through, communicating through, or otherwise using the FixOnto platform (collectively, the “Customer,” “you,” or “your”).

These Terms govern your access to and use of the FixOnto website, mobile applications, software, communication systems, databases, dispatch systems, operational systems, payment integrations, messaging systems, and all related technologies, products, and services made available by FixOnto (collectively, the “Platform”). By accessing or using the Platform in any manner whatsoever, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all policies referenced herein. If you do not agree to these Terms in their entirety, you are strictly prohibited from accessing or using the Platform.

FixOnto operates solely as a passive technology platform and online marketplace that enables Customers to connect with independent third-party service providers (“Service Providers”) for the purpose of independently arranging services. FixOnto does not itself provide home services, commercial services, maintenance services, repair services, installation services, labor services, emergency services, inspections, trade services, technical services, cleaning services, renovation services, moving services, landscaping services, or construction services of any kind whatsoever.

All services available through the Platform are offered and performed exclusively by independent third-party Service Providers operating entirely at their own discretion, responsibility, and risk. The Customer expressly acknowledges and agrees that FixOnto is not a contractor, subcontractor, employer, staffing agency, field operator, trade company, construction manager, property manager, broker, insurer, guarantor, or representative of any Service Provider.

The Customer further acknowledges and agrees that FixOnto does not supervise, inspect, monitor, direct, manage, evaluate, train, warrant, endorse, guarantee, or assume responsibility for any Service Provider or any services performed by any Service Provider, including without limitation the quality, legality, safety, suitability, professionalism, timing, licensing status, permits, pricing, materials, workmanship, completion, or outcome of any services.

FixOnto does not guarantee that any Service Provider is qualified, licensed, insured, experienced, trustworthy, safe, legally compliant, available, solvent, or capable of performing any requested services. Any background checks, verifications, badges, labels, ratings, reviews, account statuses, or screening procedures conducted or displayed by FixOnto are provided solely for operational and informational purposes and shall not constitute certifications, endorsements, guarantees, inspections, warranties, or assumptions of liability by FixOnto.

The Customer expressly acknowledges and agrees that all interactions, negotiations, communications, agreements, pricing discussions, scheduling arrangements, payments, disputes, losses, injuries, damages, or transactions occurring between a Customer and a Service Provider are solely between those parties, and FixOnto shall not be considered a party to any such relationship, agreement, or dispute under any circumstances whatsoever.

The Customer represents, warrants, and covenants that all information submitted through the Platform is accurate, complete, current, and not misleading and that the Customer possesses the legal authority to request services for the property, location, or project associated with the service request. The Customer further agrees not to submit false requests, fraudulent information, misleading descriptions, unsafe work conditions, illegal projects, or requests that violate applicable laws, regulations, permits, building codes, or municipal bylaws.

The Customer acknowledges and agrees that service requests displayed through the Platform constitute merely requests for potential opportunities and do not create any obligation on the part of FixOnto or any Service Provider to accept, complete, prioritize, schedule, or perform any services. FixOnto reserves the unrestricted right to remove, modify, cancel, restrict, prioritize, limit, reject, or suspend any service requests, communications, accounts, transactions, or Platform functionality at any time and for any reason without notice or liability.

The Customer acknowledges that service providers accessing properties through the Platform may enter homes, businesses, buildings, work sites, construction areas, hazardous environments, or private property and may utilize tools, vehicles, electrical systems, plumbing systems, gas systems, chemicals, machinery, ladders, construction equipment, sharp objects, or potentially dangerous materials. The Customer voluntarily assumes all risks associated with permitting Service Providers to access or perform work at any property or location.

The Customer is solely responsible for ensuring that any property, project site, worksite, or service location is reasonably safe, accessible, legally compliant, and suitable for the requested services. The Customer further agrees to disclose any hazardous conditions, unsafe environments, structural concerns, dangerous animals, biohazards, mold, asbestos, chemical hazards, illegal conditions, utilities issues, or other risks that may impact the safety of Service Providers or third parties.

The Customer expressly acknowledges and agrees that FixOnto shall not be liable for any acts, omissions, negligence, gross negligence, misconduct, criminal conduct, fraud, theft, assault, harassment, property damage, bodily injury, illness, death, workmanship issues, delays, project failures, permit issues, code violations, incomplete work, overbilling, disputes, accidents, or damages arising from or relating to any services performed by any Service Provider.

The Customer further acknowledges and agrees that FixOnto does not guarantee pricing, estimates, timelines, response times, availability, service outcomes, emergency response capabilities, workmanship standards, project completion, or dispute resolution outcomes. Any pricing estimates, scheduling information, reviews, ratings, response times, recommendations, or operational information displayed through the Platform are estimates or informational content only and may not be accurate, complete, or current.

Payments relating to services may be processed directly between Customers and Service Providers or through third-party payment processors integrated with the Platform. FixOnto is not a bank, escrow provider, trustee, financial institution, money services business, or payment processor and does not guarantee payment security, payment recoverability, transaction legitimacy, transaction completion, or protection against fraud, unauthorized transactions, processor outages, banking failures, chargebacks, or payment disputes.

The Customer expressly authorizes FixOnto and its payment partners to charge payment methods associated with the Customer’s account for applicable fees, service charges, cancellation fees, processing fees, damages, penalties, reimbursement obligations, chargebacks, recovery costs, or other amounts owed in connection with the Customer’s use of the Platform.

The Customer acknowledges and agrees that certain services arranged through the Platform may involve hazardous work, emergency situations, severe weather conditions, dangerous equipment, utilities, electrical systems, plumbing systems, heights, heavy objects, construction risks, environmental hazards, or unsafe conditions. The Customer voluntarily assumes all risks associated with requesting, permitting, observing, or being present during such services.

The Customer further acknowledges and agrees that Service Providers are independent third parties who may carry their own insurance policies, licenses, permits, certifications, or registrations. FixOnto does not independently guarantee the existence, validity, adequacy, scope, or enforceability of any insurance policies, licenses, permits, or certifications held by Service Providers.

The Customer shall not engage in unlawful, fraudulent, abusive, threatening, discriminatory, deceptive, exploitative, unsafe, harassing, defamatory, or harmful conduct toward Service Providers, FixOnto personnel, or third parties. The Customer shall not misuse the Platform, interfere with Platform operations, circumvent the Platform to avoid applicable fees, reverse engineer Platform systems, upload malicious code, submit false reviews, manipulate ratings, or engage in conduct that may expose FixOnto to legal, financial, operational, cybersecurity, or reputational risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED STRICTLY ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS WITHOUT WARRANTIES, REPRESENTATIONS, CONDITIONS, OR GUARANTEES OF ANY KIND WHATSOEVER, WHETHER EXPRESS, IMPLIED, STATUTORY, COLLATERAL, OR OTHERWISE. FIXONTO EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUALITY, PERFORMANCE, SAFETY, RELIABILITY, SECURITY, ACCURACY, AVAILABILITY, COMPLETENESS, SUITABILITY, OR COMPATIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE CUSTOMER EXPRESSLY RELEASES, WAIVES, AND FOREVER DISCHARGES FIXONTO FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, DAMAGES, LOSSES, COSTS, EXPENSES, LIABILITIES, PENALTIES, FINES, RIGHTS, OR CAUSES OF ACTION OF ANY KIND WHATSOEVER, WHETHER KNOWN OR UNKNOWN, DIRECT OR INDIRECT, ARISING OUT OF OR RELATING IN ANY WAY TO THE PLATFORM, SERVICE PROVIDERS, SERVICE REQUESTS, COMMUNICATIONS, PROPERTY ACCESS, PAYMENTS, TRANSACTIONS, INJURIES, DEATH, PROPERTY DAMAGE, WORKMANSHIP ISSUES, PROJECT FAILURES, CRIMINAL CONDUCT, FRAUD, NEGLIGENCE, THIRD-PARTY CONDUCT, CYBERSECURITY INCIDENTS, DATA BREACHES, HACKING EVENTS, PAYMENT FAILURES, OR BUSINESS LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXONTO AND ITS AFFILIATES, SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ECONOMIC, OR SPECULATIVE DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF PROPERTY VALUE, LOSS OF DATA, BUSINESS INTERRUPTION, EMOTIONAL DISTRESS, PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF FIXONTO IS FOUND LIABLE DESPITE THE FOREGOING DISCLAIMERS AND LIMITATIONS, THE TOTAL AGGREGATE LIABILITY OF FIXONTO SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY THE CUSTOMER TO FIXONTO DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

The Customer agrees to fully indemnify, defend, and hold harmless FixOnto and its affiliates, officers, directors, employees, shareholders, agents, contractors, licensors, successors, and assigns from and against any and all claims, demands, lawsuits, actions, liabilities, losses, damages, judgments, penalties, fines, investigations, settlements, costs, and expenses, including legal fees on a full indemnity basis, arising out of or relating to the Customer’s conduct, property conditions, negligence, legal violations, service requests, misuse of the Platform, disputes with Service Providers, injuries, deaths, property damage, fraud, chargebacks, payment disputes, regulatory complaints, privacy complaints, or breaches of these Terms.

FixOnto reserves the unrestricted right to suspend, restrict, investigate, limit, terminate, or permanently ban access to the Platform at any time, for any reason or no reason whatsoever, with or without notice, explanation, or liability. Reasons may include complaints, disputes, fraud concerns, safety concerns, legal risks, payment issues, chargebacks, abusive conduct, cybersecurity concerns, inactivity, or suspected violations of these Terms.

FixOnto may modify, suspend, discontinue, replace, or restrict any aspect of the Platform or these Terms at any time without notice or liability. Continued use of the Platform following any modifications constitutes acceptance of the modified Terms.

The Customer acknowledges and agrees that electronic communications, notifications, disclosures, agreements, invoices, records, and notices satisfy any legal requirement that such communications be in writing.

The Customer further acknowledges and agrees that any dispute, claim, controversy, or proceeding arising out of or relating to these Terms, the Platform, or the relationship between the parties shall be governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, and shall be brought exclusively before the courts located in Ontario, Canada. The Customer irrevocably submits to the jurisdiction of such courts and waives any objection based on forum non conveniens or similar doctrines.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CUSTOMER EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION, REPRESENTATIVE ACTION, COLLECTIVE ACTION, OR MASS CLAIM AGAINST FIXONTO.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Failure by FixOnto to enforce any provision shall not constitute a waiver of any rights. These Terms constitute the entire agreement between the parties and supersede all prior agreements, understandings, negotiations, communications, and representations relating to the subject matter herein.

The provisions relating to disclaimers, waivers, releases, indemnification, payment obligations, limitations of liability, dispute resolution, confidentiality, intellectual property, and all protections afforded to FixOnto shall survive indefinitely following termination of the relationship between the parties.
